These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Vertexx KDP, a professional accounting and business consultancy firm registered in Mainland Dubai, United Arab Emirates.
By accessing our website (https://vertexxkdp.ae), requesting a quotation, engaging our services, or communicating with us via email, phone, WhatsApp, or in-person meetings, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
If you do not agree with these Terms, you must not use our services. These Terms apply to all services provided by Vertexx KDP, including but not limited to company formation, accounting, tax compliance, payroll processing, and financial advisory services.
Vertexx KDP provides professional accounting, tax compliance, company formation, payroll management, bookkeeping, VAT services, and business advisory services to corporate and individual clients.
The specific services you receive will be detailed in individual service agreements, proposals, or engagement letters issued by Vertexx KDP.
Our services are limited to what is explicitly described in our engagement documents. We do not provide legal advice unless specifically stated in a separate legal services agreement.
For legal matters, you should consult with a qualified legal professional. We provide accounting and tax-related guidance only.
Initial consultations and quotations provided by Vertexx KDP are subject to these Terms. Quotations are valid for 30 days from the date of issue unless otherwise specified.
As a client of Vertexx KDP, you agree to:
Supply complete, accurate, and timely documentation, financial records, and information necessary for service delivery.
Provide required documents and information before agreed deadlines to ensure services are completed on schedule.
Respond promptly to our inquiries and maintain ongoing communication throughout service engagement.
Notify us immediately of any changes to business circumstances, legal status, or financial situation that may affect our services.
Review all advice, recommendations, and deliverables carefully and seek independent professional counsel when needed.
Keep all communications and advice from Vertexx KDP confidential and not disclose to unauthorized parties.
All fees for services will be detailed in our quotation, proposal, or engagement letter. Fees may be calculated on a fixed basis, hourly rate, or project basis as agreed.
Unless otherwise specified, invoices are due within 30 days of issuance. Late payments may incur interest charges at 1.5% per month or the maximum rate permitted by UAE law, whichever is lower.
All fees are exclusive of VAT unless stated otherwise. Additional costs incurred (government fees, third-party service charges) will be billed separately. We reserve the right to suspend services if payment is more than 30 days overdue.
To the fullest extent permitted by UAE law:
We provide advice based on current laws and information available at the time. We do not guarantee specific tax outcomes or regulatory compliance outcomes, as these depend on external authorities and changing regulations.
Our services are provided on an "as-is" basis. We make no warranties, express or implied, regarding the accuracy, completeness, or results of our services or deliverables.
Our total liability to you for any claims arising from these Terms or services shall not exceed the total fees paid by you in the 12 months preceding the claim, or AED 10,000, whichever is greater.
We shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or business interruption, even if advised of such damages.
These limitations do not apply to our liability for fraud, gross negligence, or where limitation of liability is prohibited by law.
All documents, reports, spreadsheets, analyses, and deliverables prepared by Vertexx KDP remain our intellectual property unless explicitly transferred through a written agreement.
You are granted a limited license to use these deliverables for your internal business purposes only. You may not reproduce, distribute, publish, or disclose our work product to third parties without our written consent, except as required by law.
Vertexx KDP retains all rights to methodologies, templates, tools, and processes developed during service delivery. You may not replicate or distribute these without authorization.
Either party may terminate services under the following conditions:
You may terminate services by providing 30 days' written notice. You remain liable for all fees incurred up to the termination date and any commitments already made on your behalf.
We may terminate services immediately if you breach these Terms, provide false information, fail to pay fees, or engage in conduct we reasonably believe is illegal or unethical.
Upon termination, we will retain your documents as required by UAE law (minimum 7 years). You may request return or destruction of non-mandatory records within 90 days of termination.
All information you provide to Vertexx KDP is treated as confidential. We are bound by professional confidentiality obligations and will not disclose your information to unauthorized parties.
However, we may disclose information when required by law, court order, regulatory authorities, or for professional collaboration with advisors (accountants, auditors, legal counsel) who are bound by confidentiality.

These Terms of Service shall be governed by and construed in accordance with the laws of the United Arab Emirates.
Any disputes arising from these Terms or our service relationship shall first be resolved through amicable discussion between the parties. If informal resolution fails within 30 days, disputes shall be subject to the jurisdiction of the Dubai courts.
Both parties agree to attempt mediation before initiating formal legal proceedings. The cost of mediation shall be shared equally unless otherwise agreed.
Vertexx KDP provides services in accordance with professional accounting and auditing standards applicable in the UAE. However, our services are not audits or comprehensive compliance reviews unless explicitly specified.
We do not provide legal advice. For legal matters, you must consult qualified legal professionals. Our tax advice is based on current interpretation of tax laws and is subject to change based on regulatory updates.
You acknowledge that tax planning and compliance depend on accurate information from you. We rely on client-provided data and information, and any errors in such data are not our responsibility.
Vertexx KDP reserves the right to modify these Terms of Service at any time. We will notify you of significant changes by updating the "Last Updated" date on this page.
Your continued use of our services after modifications constitutes acceptance of the revised Terms. We recommend reviewing this page periodically for updates.
